1. Acceptance of Terms

Welcome to IONH MEDIA ("Company"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "Member") and IONH MEDIA. By accessing or using our services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must discontinue the use of our services immediately.

2. Registration, Membership, and Account Management

Registration: To access our services, you must register for a membership account through our platform. Registration requires providing accurate, up-to-date, and lawful information.
Membership Application: All applicants must apply for membership through the platform.
Member Obligations:

  • Use the Services only as permitted by these Terms and applicable laws/regulations.

  • Protect the confidentiality of your password and email address. Unauthorized use may result in immediate cancellation.

  • Notify IONH MEDIA immediately of any unauthorized access or security breach.

  • Limit your use of the Website to personal or business purposes directly related to the Services.

  • Avoid illegal or unauthorized activities, such as unsolicited email collection or unauthorized linking to the Website.

  • Refrain from using automated tools for accessing the Website or Services.

  • Understand that inappropriate advertisements, affiliate links, or solicitations may be removed without notice and could lead to termination.

Eligibility: You must:

  • Be of legal age to form a binding contract in your jurisdiction.

  • Not be prohibited by law from using our services, including under the laws of Zürich, Switzerland.

  • Provide lawful information for promotion.


3. Service Description and Process

Platform and Brokerage: IONH MEDIA acts as a platform and broker, connecting clients with publication houses and other media outlets.
Service Workflow:

  • Upon booking and payment, you will receive a confirmation email with a link to upload your content (articles, press releases, images, links).

  • Our team will review your content for compliance with publication criteria and our guidelines.

  • If content meets requirements, it will be submitted to the publication house within 24-48 hours, and you will be notified.

  • If changes are needed, your account manager will assist. We only submit for publication after your final approval.

  • Upon publication, you will receive an email with the live link.

Content Writing:

  • IONH MEDIA does not offer content writing as a standard service. Clients may separately contract our journalists for content creation.


4. Content Guidelines and Restricted Topics

Prohibited Topics: IONH MEDIA does not work with content related to:

  • Alcohol, gambling, adult content, tobacco or vaping, animal-derived products, animal testing or cruelty, fossil fuels, weapons or military propaganda, environmental harm, exploitative labor or human rights violations, hate speech or discrimination, misinformation or fake news, unethical financial schemes, non-compliant medical claims, deforestation or biodiversity harm, personal or confidential information shared without consent, junk food or unhealthy lifestyle promotion.

Content Requirements:

  • Content must be of interest to the general public and meet quality standards.

  • Headlines: Must be 6-8 words, include the company or spokesperson name, exclude personal pronouns and exclamation points, and not resemble advertisements.

  • Content: Must be written in the third person (except quotations) and not harm IONH MEDIA's reputation.

  • Articles must contain a minimum of 80% original content.

  • Content must be unique to each publication.

Editorial Rules:

  • Content may be refused for bad headlines, advertising/spam, poor news value, poor writing quality, lack of contact information, keyword spam, or prohibited content.

  • IONH MEDIA has the right to refuse any content that is deems unfit for publication.

5. Payment, Refunds, and Chargebacks

Payment Terms: Payments are required upfront. Accepted methods include credit card via Stripe. All payments are final and non-refundable, except as outlined in the Refund Policy.
Refund Policy:
Refunds are considered only if IONH MEDIA fails to meet its contractual obligation to publish your news stories.
Refunds are not issued for:

  • Published content removal by publishers or publication cessation.

  • Delays caused by client inactivity or lack of response.

  • Content rejection due to withheld critical information (e.g., legal issues).

  • Defamatory content submission.

  • Accidental purchases or personal reasons.

  • Requesting content on restricted topics.

  • Dissatisfaction with draft style or tone if collaboration opportunities were provided.

If the publication house rejects the content, a refund will be issued, and alternative publications will be offered.

Chargebacks:

  • Chargebacks result in immediate service termination and removal of published content.

6. Publication Timeline and Limitations

Timeline: Publication timelines vary by outlet and are communicated in the booking details.
Limitations:

  • Once content is published, no changes can be made.

  • IONH MEDIA cannot guarantee continuous availability of published articles or prevent third-party platform changes.

  • While articles generally stay online, some publishers may remove articles within 1-6 months. No refunds are given if this occurs.

Guaranteed Publication:

  • While rare, if a publication refuses, a refund or placement in a comparable outlet will be offered.

7. Sponsored Content and Disclosure

  • Client Responsibility: Clients are responsible for ensuring compliance with disclosure laws, including FTC guidelines, for paid or sponsored content.

  • IONH MEDIA Disclaimer: IONH MEDIA is not liable for how publications label or disclose paid content and assumes no responsibility for regulatory actions due to non-compliance.


8. Limitation of Liability

  • IONH MEDIA provides services "as is" and "as available," disclaiming all warranties.

  • Liability is limited to the amount paid for the specific service and excludes indirect, incidental, or consequential damages.


9. Content Control and Changes

  • Both parties approve content, but media outlets may alter it. IONH MEDIA is not liable for such changes.

  • IONH MEDIA may reject content or terminate placements for legal, financial, or reputational risks.

  • Scope changes require written agreement and may incur additional costs.


10. Termination

Client Termination:

  • Clients may terminate with 14 days’ written notice.

IONH MEDIA Termination:

  • IONH MEDIA may terminate for breaches of these Terms, legal requirements, or commercial unviability.


11. Indemnity

Clients indemnify IONH MEDIA from claims, damages, or losses resulting from breaches of these Terms or client-provided materials.


12. Dispute Resolution

  • Disputes must be preceded by written notice and good-faith negotiation.

  • Unresolved disputes will be mediated in Zürich, Switzerland.

  • If mediation fails, legal action may proceed.


13. Governing Law

These Terms are governed by the laws of Zürich, Switzerland.


14. Privacy Policy

IONH MEDIA processes personal information in compliance with applicable privacy laws.


15. Final Provisions

Severability: Invalid provisions do not affect the enforceability of remaining provisions.
By using our services, you confirm your understanding and acceptance of these Terms.
